Embed Financial Group Cayman Holdings ("EFGH" or "the Company") today named Wang MinQi as Interim Group Chief Financial Officer, effective August 7, 2026. He succeeds David Yeoh, who is stepping back from the CFO role and will continue with EFGH as Senior Advisor, Finance.

EFGH's proposed business combination with WinVest Acquisition Corp. remains under review by the U.S. Securities and Exchange Commission, and MinQi will oversee the Company’s financial reporting during this period.

David Yeoh joined EFGH as Group Chief Financial Officer in November 2025, bringing more than two decades of finance experience from Deutsche Securities, Legg Mason Equities, Maybank Kim Eng and Guidepoint Global. David has confirmed to EFGH that his decision to step back is not related to any disagreement with the Company concerning its financial reporting, accounting practices, internal controls or auditors. He will support MinQi through the handover and continue advising EFGH on strategic finance and capital-markets matters.

MinQi is a Certified Practising Accountant with CPA Australia, a designation he earned in 2024. He has nine years of experience in financial controllership, US GAAP reporting, Sarbanes-Oxley (SOX) controls, audit management, treasury and regional financial consolidation. He previously held finance roles at the Singapore subsidiaries of two NYSE-listed companies: Interpublic Group, where he served as Finance Manager and Acting Controller at R/GA Singapore and led the office's internal-control function under Interpublic's SOX framework, and WPP. Earlier in his career, he managed financial consolidation across seven Asia-Pacific markets: Singapore, Malaysia, the Philippines, Indonesia, Vietnam, Thailand and Australia. He holds a Bachelor of Business in Accountancy from RMIT University and a Diploma in Management Studies from the Singapore Institute of Management.

As Interim Group CFO, MinQi will oversee EFGH's financial reporting, accounting, treasury, budgeting, internal controls and finance operations, working directly with the Company's management, auditors and professional advisers.

"David remains a valued member of EFGH," said Dennis Ng, Founder, Executive Chairman and Group Chief Executive Officer of EFGH. "We are pleased that the Group will continue to benefit from his strategic finance and capital-markets experience. MinQi brings strong technical grounding and hands-on experience in financial reporting, internal controls, audit readiness and regional finance operations. His appointment gives us continuity in the finance function while further strengthening the Company’s financial discipline and governance as EFGH grows."

"I am honoured to take on this responsibility," said MinQi. "My immediate priorities are to maintain continuity, uphold disciplined financial reporting and ensure that EFGH's finance function remains rigorous and audit-ready. I look forward to working closely with the leadership team, our auditors and advisers."

"After careful consideration, I asked to step back from the day-to-day responsibilities of the CFO role for personal reasons," said Yeoh. "I remain committed to EFGH and look forward to supporting MinQi through the transition while continuing to contribute as Strategic Finance Advisor."
