SINGAPORE, 12 Feb 2026 - Embed Financial Group Holdings Pte. Ltd. (“EFGH”) has entered into a Business Referral Partnership Agreement dated 6 February 2026 with Vest Acquico Ltd, a company incorporated in Nigeria.
The agreement establishes a formal framework under which Vest Acquico Ltd may introduce prospective clients and business opportunities to EFGH within Nigeria.
Defined Scope
The partnership covers referrals across EFGH’s existing and future business activities, including digital financial infrastructure, embedded finance, programmable protection, cross-border digital systems, technology solutions, and strategic partnerships.
Nigeria is designated as the primary territory under the agreement. Any expansion beyond Nigeria would require mutual written agreement between the parties.
Referral Structure
Vest Acquico Ltd will identify and introduce prospective clients, facilitate initial meetings, and support engagement through potential contract execution.
The Partner has no authority to negotiate, make representations, or bind EFGH. All commercial negotiations and contractual agreements remain solely under EFGH’s control.
Revenue sharing applies only where a referred client:
- Is formally accepted by EFGH,
- Enters into a binding contract with EFGH,
- Makes payment for services,
and only pursuant to a separately executed Deal Addendum for each opportunity.
Term
The agreement has an initial term of three years, with automatic annual renewals unless terminated in accordance with its provisions. It is governed by the laws of the Republic of Singapore, with dispute resolution through mediation and arbitration in Singapore.
Strategic Rationale
Nigeria is one of West Africa’s largest economies and a significant financial services market. Establishing a structured referral channel enables EFGH to access local networks while maintaining centralised governance, contractual control, and compliance standards.
Dennis Ng, Executive Chairman of EFGH, said:
